At Reppert Kelly & Vytell, we work with each of our clients from the outset to understand how the dispute arose, how it is likely to impact its business over the short and long term, and then craft a case strategy specific to resolving the dispute in a pragmatic, cost-effective manner. We know that litigation is not always the best business strategy and that both sides usually lose in drawn out, protracted legal battles. Nonetheless, where early settlement is not possible, Reppert Kelly & Vytell will be ready to litigate.
Our attorneys have extensive experience litigating and trying cases that involve business disputes. These include cases involving international licensing agreements, commercial leases, goods sold and delivered, business divorce, minority shareholder oppression, employee restrictive covenants, misappropriation of trade secrets, unfair competition, trademark and copyright infringement, and landlord-tenant eviction proceedings, just to name a few.
Our attorneys are also skilled in the proper papering of a company to avoid disputes including shareholder and operating agreements. We assist many of our clients with acquisitions by other companies and are experienced in due diligence and preparing the seller or buyer for the proper structuring and papering of a purchase and/or sale. Employment Law – Counseling and Litigation
Over the past several decades, there has been a massive expansion of laws designed to protect the rights of employees in the workplace. As a result, employment law and employment litigation, in particular, has become a complex and sophisticated area of the law that requires the skill of an experienced employment law practitioner. At Reppert Kelly & Vytell, we have been representing plaintiffs and defendants in employment cases since our founding in 1994 and, prior to that, our founding members both worked for larger law firms whose practices were concentrated in employment law and employment litigation. Employment law is simply woven into our firm’s DNA.
Our attorneys have extensive experience representing clients in employment matters in the federal and state courts, at the United States Equal Employment Opportunity Commission, and in tribunals before the American Arbitration Association. Among the many types of employment matters that our firm has handled include discriminatory discharge cases involving age, race, gender, national origin, sexual orientation, disability, pregnancy, and religious affiliation. We have also extensive experience litigating cases involving sexual harassment, workplace assault, retaliation, whistleblower rights, equal pay for equal work, family and medical leave, reasonable accommodation, unpaid overtime, employee drug testing, and the enforcement of restrictive covenants, non-disclosure, and non-solicitation agreements.
In addition to litigation, our attorneys are often called on by their clients to prepare or negotiate employment contracts, employee stock option agreements, restrictive covenants, severance agreements, and employment handbooks and workplace policies.
Entertainment Law – Counseling and Litigation
Our firm represents numerous independent film makers in all stages of film productions from inception to development, to financing, post, distribution and licensing, etc. The firm has handled network projects as well as wide releases throughout the country with major and minor studios. We assist clients with the financial analysis needed to properly review and greenlight projects, including the review and preparation of budgets. We are experienced in drafting all contracts involved in the acquisition and production of content, including but not limited to talent, crew, directors, writers, financing, licensing and distribution agreements. We have negotiated an infinite amount of deals with large streaming companies, television broadcasters as well and major and mini studios. We are active with handling all guild issues that may arise when dealing with SAG, WGA, IATSE and DGA, etc. We assist clients with handling all stages of film production including the negotiation and recovery of guild deposits, guild issues and complaints as well as IFTA arbitrations. The firm is knowledgeable in all media rights especially with all various streaming platforms and rights, SVOD, AVOD, VOD, FVOD, etc. and is constantly staying informed on the ever-evolving media rights development. We also counsel clients on the availability of rebates and avoiding pitfalls so as to maximize rebate recovery.
Intellectual Property – Counseling and Litigation
We counsel clients on developing a plan to protect their invaluable intellectual property. This plan includes filing all necessary trademark and copyright applications, both domestically and internationally when appropriate. We assist with protecting rights on the internet and will develop a policing plan so we can timely assist with ceasing improper acquisitions of domains names and/or cybersquatting or shutting down fraudulent e-commerce sites. We also counsel our clients on preparing and structuring licensing agreements. We litigate and defend copyright and trademark infringement actions throughout the United States.
NFL Concussion Settlement Litigation
The NFL was sued on the basis it withheld evidence of the risks associated with repetitive traumatic brain injuries to their players. While the NFL denied the claims, a settlement was reached and under the NFL Concussion Settlement, monies have been set aside for retired players and/or their family members to recover for a qualifying diagnosis.
We represent a number of professional former athletes who are suffering from brain injuries caused by head impact while playing NFL football. Our law firm is representing ex-NFL or affiliated league players diagnosed with ALS, Parkinson’s Disease, Alzheimer’s, Dementia, CTE, and any other related head injuries.

Commercial Real Estate – Transactional and Litigation
We handle complex commercial acquisitions and sales. Our attorneys are well versed in reviewing and preparing sales purchase agreements and structing financing arrangements. We have assisted with the development of large residential projects both domestically and internationally and have prepared agreements for every stage of development from purchase of land to the contractor agreement, to the salesforce and eventual sale of units and/or the entire project. Our team works with planning boards and local city officials to obtain proper variances and/or tax abatements.
